Estimated delivery or pickup times provided through the Site are approximations only and are not guaranteed. Imos Pizza shall not be liable for delays caused by circumstances beyond our reasonable control, including but not limited to traffic, weather conditions, or high order volume.

You are responsible for providing accurate delivery address information. We shall not be liable for orders that are undeliverable or delayed due to incorrect or incomplete address information provided by you. In such cases, no refund may be owed.

7. Food Allergen and Nutritional Information

We strive to provide accurate and up-to-date allergen and nutritional information for our menu items. However, due to the nature of food preparation in a shared kitchen environment, we cannot guarantee that our products are free from allergens such as gluten, nuts, dairy, eggs, soy, shellfish, or other common allergens. Cross-contamination is possible.

If you have food allergies or dietary restrictions, it is your responsibility to inform our staff and consult with us before placing your order. Imos Pizza shall not be liable for any allergic reactions or adverse health effects resulting from the consumption of our products where you have failed to disclose relevant dietary requirements.

8. Disclaimer of Warranties

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
  • WARRANTIES THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS;
  • WARRANTIES AS TO THE ACCURACY, COMPLETENESS, OR TIMELINESS OF ANY CONTENT ON THE SITE;
  • WARRANTIES REGARDING THE QUALITY, SAFETY, OR SUITABILITY OF FOOD PRODUCTS BEYOND APPLICABLE FOOD SAFETY REGULATIONS;
  • WARRANTIES RELATING TO THE CONDUCT OF OTHER USERS OF THE SITE.

Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you. In such cases, our warranties are limited to the maximum extent permitted by applicable law.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL IMOS PIZZA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE, OR THE COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR IN CONNECTION WITH:

  • Your use of or inability to use the Site or our services;
  • Any content obtained from the Site;
  • Unauthorized access to or alteration of your transmissions or data;
  • Any food products purchased through the Site;
  • Any third-party conduct or content on the Site;
  • Any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, transmitted, or otherwise made available through the Site.

IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO IMOS PIZZA IN THE SIX (6) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).

The limitations and exclusions of liability set forth in this Section apply regardless of the theory of liability, whether based on warranty, contract, tort (including negligence), strict liability, or any other legal theory, and whether or not Imos Pizza has been informed of the possibility of such damages. Nothing in these Terms shall exclude or limit liability that cannot be excluded or limited under applicable law, including liability for gross negligence, fraud, or willful misconduct.

10. Indemnification

You agree to indemnify, defend, and hold harmless Imos Pizza, its parent companies, subsidiaries, affiliates, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms;
  • Your use of the Site or our services;
  • Your violation of any applicable law, rule, or regulation;
  • Your infringement of any intellectual property or other rights of any third party;
  • Any content you submit, post, or transmit through the Site;
  • Your provision of false, inaccurate, or fraudulent information;

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and in such case, you agree to cooperate with our defense of such claim. You agree not to settle any such claim without our prior written consent.

11. Governing Law and Jurisdiction

These Terms of Service and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the United States of America and the applicable laws of the state in which Imos Pizza's principal place of business is located, without regard to its conflict of law provisions.

You agree that any legal action or proceeding arising under or related to these Terms shall be brought exclusively in the federal or state courts of competent jurisdiction located in the United States, and you hereby irrevocably consent to the personal jurisdiction and venue of such courts.

These Terms are also subject to applicable federal laws, including but not limited to:

  • The Federal Trade Commission Act (15 U.S.C. § 41 et seq.) governing unfair or deceptive acts or practices;
  • The Electronic Communications Privacy Act (18 U.S.C. § 2510 et seq.);
  • The Computer Fraud and Abuse Act (18 U.S.C. § 1030);
  • The CAN-SPAM Act of 2003 (15 U.S.C. § 7701 et seq.) regarding commercial electronic communications;
  • The California Consumer Privacy Act (CCPA) / California Privacy Rights Act (CPRA), as applicable to California residents.

12. Dispute Resolution

12.1 Informal Resolution

Before initiating any formal legal proceedings, you agree to first contact us and attempt to resolve any dispute, claim, or controversy informally. You must send a written notice describing the nature of the dispute and the relief sought to [email protected]. We will attempt to respond within thirty (30) days of receipt of your notice. If the dispute cannot be resolved informally within sixty (60) days of your notice, either party may pursue formal dispute resolution as described below.

12.2 Binding Arbitration

Except as otherwise provided herein, any dispute, controversy, or claim arising out of or relating to these Terms, including the breach, termination, enforcement, interpretation, or validity thereof, shall be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules, which are available at www.adr.org. The arbitration shall be conducted in the English language.

The arbitrator shall have authority to award any remedy that would be available in a court of competent jurisdiction. The arbitrator's decision shall be final and binding upon the parties, and may be entered as a judgment in any court of competent jurisdiction.

You and Imos Pizza agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

12.3 Exceptions to Arbitration

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction in order to prevent irreparable harm pending the resolution of a dispute through arbitration. Claims for infringement or misappropriation of intellectual property rights shall not be subject to arbitration.

12.4 Waiver of Jury Trial

BY AGREEING TO THESE TERMS, YOU AND IMOS PIZZA EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN CLASS ACTION LAWSUITS OR CLASS-WIDE ARBITRATIONS TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

13. Term and Termination

These Terms shall remain in full force and effect for as long as you use the Site or maintain an account with us. We may, in our sole discretion, terminate or suspend your access to the Site and our services, in whole or in part, at any time and for any reason, with or without notice, including but not limited to:

  • Violation of these Terms or any applicable law;
  • Conduct that is harmful to other users, third parties, or the interests of Imos Pizza;
  • Suspected fraudulent activity;
  • Non-payment of amounts due;

19. Force Majeure

Imos Pizza shall not be liable for any failure or delay in the performance of its obligations under these Terms to the extent such failure or delay is caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemic or epidemic events, fire, flood, war, acts of terrorism, government actions, labor disputes, power outages, internet or telecommunications failures, supply chain disruptions, or any other similar unforeseeable event ("Force Majeure Event").

In the event of a Force Majeure Event, we will make reasonable efforts to notify affected customers and resume normal operations as soon as practicable. Our obligations under these Terms will be suspended for the duration of the Force Majeure Event to the extent we are prevented from fulfilling them.
